Zeus Advisors LLP

Giving Structure to Ambition.

An introduction to who we are, what we stand for and why clients choose Zeus.

“We look at the business before we look at the issue.”

Who We Are

Ambition is rarely the problem. Structure often is.

Businesses are built through ideas, capital, people and execution — but as they grow, the decisions surrounding them become increasingly interconnected. A fundraising decision affects ownership. A commercial arrangement creates legal obligations. A valuation influences negotiations. A compliance gap can delay a transaction. And a poorly structured agreement can become a dispute years later.

Zeus Advisors was built around the belief that these decisions should not be looked at in isolation.

The foundation of the Zeus advisory practice was laid in 2015-16 in response to a recurring gap in the startup and business ecosystem. Promoters were building businesses with energy and ambition, but the professional support around them was often fragmented. Finance, legal documentation, compliance, taxation, fundraising and strategy were frequently handled by different advisors, each looking at only one part of the business.

Zeus was conceived to change that.

Today, Zeus Advisors LLP is an integrated transaction and business advisory firm working with investors, institutions, startups, founders and growing businesses across their investment and business lifecycle. We bring together transaction advisory, legal structuring, finance, compliance and strategic thinking to help clients make better-informed decisions and, more importantly, execute them effectively.

Our role goes beyond preparing documents, completing filings or identifying problems. We seek to understand what the client is ultimately trying to achieve, evaluate the commercial, financial, legal and regulatory implications surrounding that objective, and develop a structure that works in practice.

That is what we mean by Giving Structure to Ambition.

How We Think

Understand the business before advising on the issue.

At Zeus, we believe that good advisory begins with understanding the business before advising on the issue.

A transaction is not merely a legal agreement. Fundraising is not merely about obtaining capital. Compliance is not simply about meeting a deadline. And finance is not limited to maintaining accounts.

Each is part of a larger commercial picture.

Our approach therefore combines commercial understanding with legal precision, financial discipline and regulatory awareness. Whether we are advising an investor evaluating an opportunity, a founder raising capital, an institution deploying funds or a growing company strengthening its internal structure, we consider how today's decision could affect ownership, control, governance, cash flows, compliance, future fundraising and eventual exits.

This integrated perspective allows us to advise not only on what can be done, but on how it should be structured and implemented.

From Advice to Execution

Help the client move forward.

We believe that the value of an advisor is measured not by the number of issues identified, but by the ability to help the client move forward.

Zeus therefore remains closely involved throughout an engagement — from understanding the commercial objective and evaluating alternatives to structuring, negotiation, documentation, compliance and implementation.

Our work spans areas including fundraising and investment transactions, transaction structuring, shareholders' arrangements, due diligence, valuations, Virtual CFO and financial advisory, FEMA and cross-border matters, corporate and regulatory compliance, ESOPs, governance, negotiations and stakeholder disputes.

This enables our clients to work with a team that understands how different aspects of a transaction or business decision connect with one another, rather than coordinating multiple advisors working independently.

Why Zeus

What clients choose us for.

We understand both sides of the table.

Our work with investors, incubators, institutions and founders gives us perspective on how different stakeholders evaluate the same transaction and where their interests are likely to converge or conflict.

We combine disciplines.

Legal, financial, regulatory and commercial considerations are evaluated together, allowing issues to be identified earlier and structures to be developed more thoughtfully.

We think beyond the immediate transaction.

A term that appears acceptable today may affect the next funding round, governance rights or an eventual exit. We therefore consider the longer-term consequences of the structures we recommend.

We negotiate commercially.

Our objective is not to create unnecessary friction or win every drafting point. It is to protect our client's interests while helping parties arrive at arrangements that remain workable after the transaction closes.

We stay involved through execution.

Strategy without implementation has limited value. Our team works alongside clients through documentation, negotiation, compliance and closing so that advice translates into action.

We treat every engagement as a business problem first.

And a professional assignment second.

Our Philosophy

The best structures are rarely the most complicated ones.

They are the ones in which the commercial objective is clear, responsibilities are understood, risks have been considered and the legal, financial and regulatory framework supports what the parties are actually trying to achieve.

That philosophy shapes the way we work at Zeus.

We aim to become more than an external service provider. We seek to be a trusted advisory partner whom clients can involve when the decision is important, the transaction is complex or the path forward is not immediately obvious.

Because ambition creates opportunities.

Structure turns them into businesses, investments and outcomes.
